Terms of Service

These Terms govern access to and use of Editax (the “Service”), an internal, AI-assisted accounting and tax-preparation workspace operated by [Insert the firm's registered legal entity name and address](“the Firm”, “we”). By accessing the Service you agree to these Terms.
1. Authorized use
The Service is for internal use by authorized staff of the Firm only. It is not offered to the public. You are responsible for keeping your credentials confidential and for all activity under your account.
2. What the Service does
Editax helps staff intake clients, upload documents, run AI-assisted analysis, review and categorize transactions, and generate draft reports. All outputs are drafts prepared for review by a licensed professional and are not final work product.
3. No tax or legal advice; professional review required
The Service does not provide tax, legal, or accounting advice and does not file returns. AI-generated figures and recommendations are estimates that must be verified by a qualified CPA or tax professional before any return is filed or relied upon. The Firm and its professionals remain solely responsible for all filings and client advice. See our Disclaimer.
4. Acceptable use
- Use the Service only for legitimate Firm business and only with proper client authorization.
- Do not share access with unauthorized persons or attempt to bypass security or access controls.
- Do not upload content you are not permitted to process, or use the Service unlawfully.
5. Credits and billing
AI analysis runs consume credits. A run is charged only when it completes successfully; failed runs are not charged. Credits already consumed are non-refundable. The Firm administers credit balances and any purchases.
6. Client data and confidentiality
Documents and information you enter may contain sensitive client and financial data. You agree to handle it in accordance with the Firm's confidentiality obligations and applicable law. See our Privacy Policy.
7. Third-party services
The Service relies on third-party providers for hosting, data storage, and AI processing (for example, cloud hosting, a managed database, and an AI model provider). Your use is also subject to those providers' terms, and content submitted for analysis may be transmitted to them as described in the Privacy Policy.
8. Intellectual property
The Service, including its software, design, and branding, is owned by the Firm and its licensors. These Terms do not transfer any ownership rights. Client data remains the property of the Firm and its clients.
9. Disclaimers and limitation of liability
The Service is provided “as is” without warranties of any kind, including accuracy of AI output. To the maximum extent permitted by law, the Firm and its providers are not liable for indirect, incidental, or consequential damages, or for any reliance on unreviewed AI-generated output.
10. Termination
Access may be suspended or terminated at any time, including for violation of these Terms or for security reasons. Confidentiality and data-handling obligations survive termination.
11. Changes
We may update these Terms; the “Last updated” date will change accordingly. Continued use after an update constitutes acceptance of the revised Terms.
12. Governing law & contact
